The provision is renamed from the EU Recovery prospectus to the EU Follow-on prospectus, and its scope is broadened from shares only to securities generally, adding a new category for issuers seeking admission to trading on a regulated market of securities fungible with those already admitted to trading on an SME growth market, and adding a carve-out barring issuers with only non-equity securities admitted to trading from drawing up this prospectus for admission of equity securities.
The cap on shares offered relative to prior EU Recovery prospectus offerings and the 12-month period tied to that cap, previously found in paragraph 1, are removed, and the required content in paragraph 2 is reorganised into three lettered points without the prior 400-word COVID-19 impact disclosure and without the prior requirement to disclose capitalisation, indebtedness and a working capital statement.
The maximum page length is increased from 30 to 50 sides of A4 paper for a prospectus relating to shares, the minimum information is now tied to Annex IV or V depending on the type of securities rather than a single Annex Va, and new paragraphs are added on standardised format and sequence and on the Commission's obligation to adopt delegated acts by 5 March 2026 to specify reduced content, format and sequence.

A new Article 14a is added, introducing an EU Recovery prospectus as a simplified disclosure regime available to certain issuers and offerors of shares that have been admitted to trading on a regulated market or SME growth market for at least the preceding 18 months, subject to a limit on the number of shares offered under this regime.
The article sets out the reduced content the EU Recovery prospectus must contain, requires it to be a single document of at most 30 sides of A4 paper following the minimum information listed in Annex Va, and lets issuers choose the order of that information.
